LETTER 1 — a cautious reply to a proposal

Dear Ms Okafor,
Thank you for your proposal of 3 June, which we have read with interest. There is a good deal in it that we welcome, and I would like to set out where we stand so that neither side reads more into this letter than is meant.
We are not opposed in principle to a joint evening programme under both names. We would be able to commit to a one-term pilot from September, on the understanding that teaching remains with our own staff; that condition is not one we could move on. The order of the two names, and the division of fees, we regard as open, and we would welcome your thinking on both.
On exclusivity, I am afraid I must be plain: this is not something we can offer, the reason being that our daytime provision depends on existing partners whose position we are bound to protect. What we can offer instead is first refusal on any new evening course we develop during the life of the agreement.
For the avoidance of doubt, nothing in this letter constitutes an offer capable of acceptance; it is intended to indicate where agreement may be possible ahead of our meeting on the 12th. We should be grateful for a note of any points on which you take a different view.

LETTER 2 — a post-meeting summary

Dear Ms Okafor,
Further to our meeting of 12 June, I set out below my understanding of what was agreed, what remains subject to approval, and what remains open. I should be grateful if you would confirm that this reflects your understanding, or let me know where it does not.
Agreed: (1) a one-term pilot from September under both names; (2) teaching by our staff, who will undergo the college's annual observation; (3) daytime courses excluded from this agreement, without prejudice to discussion next year; (4) first refusal for the college on any new evening course we develop, in place of exclusivity. Action points: the college to confirm the room and its cost in writing by Friday 16 June (Ms Okafor); the syllabus to be sent by 15 July (Mr Marsh).
Subject to your director's approval, and therefore recorded as intended rather than agreed: the division of fees at 60/40 in the college's favour for the first term, moving to 50/50 thereafter, as a package with items (2) and (4) above.
Open: the order of the two names on the certificate.
This letter is sent subject to contract; heads of terms will follow separately. I will not treat silence as agreement, so a reply by the 20th would be much appreciated.

Dear Ms Okafor,
Thank you for your letter of 18 June. I set out below our response to the four changes, so that both sides can see what has moved and what has not.
(a) Fees. We note with thanks your director's approval of 60/40 for the first term, moving to 50/50 thereafter. Since the room is no longer available (see (c)), the reason for the first-term weighting has gone; we therefore propose, as a package, 50/50 from the start, fixed for two years, on the understanding that we carry the venue cost for the first term.
(b) Staff. We can agree to our tutors holding college associate status — assessed by the college, employed by us — in place of annual observation. For the avoidance of doubt, teaching by our own staff remains the condition of our participation; associate status satisfies it, and we are grateful to the quality office for the suggestion.
(c) Room. We will not hold the college to a room it no longer has. We can agree to host the first term in our building, and we will confirm the room and its capacity in writing by 30 June. That leaves the second term's venue open; we would expect to return to the college once a room is available, but this is an expectation, not a commitment on either side.
(d) Order of names. This was the one term left open, and we are content to close it: the college name may go first. In return, we would want the first-refusal clause extended from new evening courses to any joint course, and the two-year fixing of the fee split in (a). If that trade is acceptable, please treat (a), (b) and (d) as a single package; if not, I am afraid we would need to revisit the order of names, since it was open precisely so that it could be traded.
Action points: the college to confirm associate status in writing by 30 June (Ms Okafor); our room confirmation by 30 June and the syllabus by 15 July (Mr Marsh). Heads of terms, revised, will follow with this letter; both are sent subject to contract.
I should be grateful if you would confirm that this reflects your understanding by 5 July. As before, I will not treat silence as agreement.
