Точное согласие: предмет, условия и то, что остаётся открытым
«Да» в переговорах имеет объём (scope) и условия. Точное согласие называет: на что (we can agree to the date), при каком понимании (on the understanding that; provided that; subject to), на каком уровне (in principle — идея; in detail — условия), что остаётся открытым (that leaves the fee open), что исключено (we carve out X), и что согласие не затрагивает (without prejudice to our position on Y). Без этого «да» слышат шире, чем сказано (тема 62: объём). Правило: проговорить (spell out), что покрывает «agreed» — и что нет.

Порядок точного согласия: 1 предмет → 2 условия → 3 исключения → 4 открытое → 5 кто подтверждает и когда. Ошибки новичков: agree with the date → agree to the date (agree with — с человеком / мнением); on condition of → on condition that; it doesn't spread to → does not extend to.
Нюансы
- on the understanding that — мягче, чем provided that; но в письме — такое же условие.
- without prejudice — юридический термин (переписка, которую нельзя предъявить в суде); в деловой речи — «не затрагивая».
- in principle — «да идее»; не спешите: «agreed in principle» часто становится «not agreed in detail».
- carve out — из юридического жаргона; в речи — «leave out», «exclude».
- Точное «да» длиннее расплывчатого — это цена ясности (тема 68).
