Фиксация соглашения: обязательство, исключение и нерешённый вопрос
Соглашение фиксируют так, чтобы через месяц обе стороны прочли одно и то же: обязательство (undertake to, commitment — что именно, кем, к какому сроку), исключения (except that, save that — что из принятого меняется), нерешённое (remains open, to be agreed) и статус (in principle, subject to contract, binding / not binding, without prejudice). Ясность важнее вежливости: for the avoidance of doubt — законная формула для того, чтобы сказать очевидное.

Нюансы
- undertake to — юридический глагол; в письме коллеге — we will.
- save that — только в договорах и письмах юристов; в деловом письме — except that.
- without prejudice — предложение нельзя использовать против нас, если сделка не состоится.
- in principle = согласие с идеей, не с деталями; всегда с «the detail to follow».
- Слово endeavour в чужом обязательстве — сигнал, что обязательства нет.
